These Terms of Business govern the introduction of permanent and contract staff by theo to the Client.

1. Definitions

Agency: Theo Jones Recruitment Limited.

Client: The person/company receiving candidate introductions.

Candidate: Any person introduced by theo.

Engagement: Any employment or engagement resulting from an Introduction.

Introduction: Provision of CV or identifying info, or interview setup.

Remuneration: All salary, fees, bonuses, benefits.

Introduction Fee: Fee payable when an Introduction results in Engagement.

2. The Contract

These Terms are accepted when the Client requests or receives Candidate info or engages a Candidate. Variations require written agreement by a Director.

3. Notifications & Fees

Client must notify theo of offers and acceptances and pay invoices within 14 days. Fees apply if Candidate is engaged within 6 months of Introduction. Ownership rules and late payment interest apply.

4. Refunds

Refunds apply only within first 8 weeks according to schedule and only if Client meets all conditions. 

5. Introductions to Third Parties

Passing a Candidate to a third party resulting in engagement triggers a full fee. 

6. Suitability & Compliance

theo takes reasonable steps to assess suitability; Client remains responsible for checks including references and right-to-work.

7. Confidentiality & Data Protection

Candidate info is confidential and must be handled in compliance with UK GDPR.

8. Liability

theo is not liable for losses arising from Introductions or Engagements except where legally prohibited.

9. Notices

Notices must be sent to the registered address or notified contacts.

10. Severability

Invalid provisions do not affect the rest of the Terms.

11. Governing Law

These Terms are governed by English law.
